Pricing

  • Prices shown on our site are in Canadian Funds.
  • Sales tax will be added where applicable. If you are exempt from paying tax, please submit a copy of your tax exemption or resale certificate for our files.
  • There is no minimum dollar amount per order required.
  • Special-agreement pricing and/or bid orders must be indicated at the time of estimate, including the expected date the bid will be awarded
  • Resellers and dealers must specify at the time of purchase that the product is for resale.
  • Pricing and availability of the items listed on this website are subject to change without notice. You will be notified of any significant price differences before order processing.
  • Due to manufacturers’ product supplies and schedules, some items may be discontinued without notice. 

Special Packaging and Custom Orders, including Furniture & Carpets

  • Requests for special packaging or labelling may be subject to additional fees and must be requested before placing an order. 
  • Cancellations are not permitted once manufacturing has begun. 

Returns

  • Returns will only be accepted for damaged or defective merchandise.
  • We reserve the right to replace damaged items.
  • Returns are subject to approval by CLS and a 20% restocking fee. 

Warranties

  • CLS does not hold any warranties.
  • Warranties (if applicable) are provided by each manufacturer. 

Intellectual property

  • You agree that all materials, products, and services provided on this website are the property of Canadian Learning Supply, its affiliates, directors, officers, employees, agents, suppliers, or licensors including all copyrights, trade secrets, trademarks, patents, and other intellectual property.
  • You also agree that you will not reproduce or redistribute the Canadian Learning Supply’s intellectual property in any way, including electronic, digital, or new trademark registrations. You grant Canadian Learning Supply a royalty-free and non-exclusive license to display, use, copy, transmit, and broadcast the content you upload and publish.
  • For issues regarding intellectual property claims, you should contact the company to come to agree. 

User Accounts

  • As a user of this website, you may be asked to register with us and provide private information. You are responsible for ensuring the accuracy of this information, and you are responsible for maintaining the safety and security of your identifying information. 
  • You are also responsible for all activities that occur under your account or password. If you think there are any possible issues regarding the security of your account on the website, inform us immediately so we may address them accordingly.
  • We reserve all rights to terminate accounts, edit or remove content and cancel orders at our sole discretion.

Payments

  • Prepayment via credit card, cheque, EFT or wire transfer is required to place an order. 
  • Orders over $5,000 CDN must be prepaid by certified cheque or electronic transfer.
  • We do NOT accept purchase orders at this time. 
  •  Payment of invoice constitutes acceptance of all terms and conditions.

Shipping 

  • Due to the extensive use of online shipping requests worldwide, we are unable to guarantee shipping and delivery timelines. We do promise to keep you apprised of your order status. 
  • Shipping rates on our site are live and set by each courier, and not by CLS.

  • Freight charges are FOB shipping point, prepaid and added to your invoice. Shipments are made via FedEx Ground, Canpar, Purolator or other common carrier, depending on size, weight and quantity of product ordered.

  • Large items and furniture too large to ship via common ground carrier and must ship by large truck. Extra shipping charges will apply. 

  • Inside or residential delivery is subject to an extra charge.

  •  Shipping dates for large-quantity, custom, furniture, and special-order supply merchandise will be provided once order is confirmed, and is subject to change based on the manufacturers schedule.  

Limitation of Liability

  • IN NO EVENT SHALL EITHER PARTY BE LIABLE UNDER THIS AGREEMENT TO THE OTHER PARTY OR ANY THIRD PARTY FOR ANY CONSEQUENTIAL, INDIRECT, INCIDENTAL, EXEMPLARY, SPECIAL OR PUNITIVE DAMAGES WHATSOEVER, INCLUDING ANY DAMAGES FOR BUSINESS INTERRUPTION, LOSS OF USE, REVENUE OR PROFIT, COST OF CAPITAL, LOSS OF BUSINESS OPPORTUNITY, LOSS OF GOODWILL, WHETHER ARISING OUT OF BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), ANY OTHER THEORY OF LIABILITY OR OTHERWISE, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE AND WHETHER OR NOT THE BREACHING PARTY WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  • IN NO EVENT SHALL EITHER PARTY’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT, WHETHER ARISING OUT OF OR RELATED TO BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, EXCEED THE TOTAL AMOUNT PAID.

Indemnities

  • You agree to indemnify Canadian Learning Supply and its affiliates and hold Canadian Learning Supply harmless against legal claims and demands that may arise from your use or misuse of our services.
  • We reserve the right to select our own legal counsel.

Disputes

  • Any dispute related in any way to your use of this website or to products you purchase from us shall be arbitrated by the provincial or federal court of Canada and you consent to exclusive jurisdiction and venue of such courts.

Applicable law

  • By using this website, you agree that the laws of Canada, without regard to principles of conflict laws, will govern these terms and conditions, or any dispute of any sort that might come between Canadian Learning Supply and you, or its business partners and associates.

Changes

  • Canadian Learning Supply reserves the right to edit, modify, and change this Agreement at any time. 
  • This Agreement is an understanding between Canadian Learning Supply and the user, and this supersedes and replaces all prior agreements regarding the use of this website.
